KOBİ'lerde yönetim kurulu yapısının ve yönetim kurulu kararlarının şirket performansına etkisi

Abstract

Bu tez; Türkiye'deki Küçük ve Orta Ölçekli İşletmeler (KOBİ) kapsamında yönetim kurullarının şirket performansı üzerine etkisini araştırmaktadır. Gelişen ve küresel sistem içinde aktif rol almak isteyen Türkiye'de KOBİ'ler TÜİK 2014 istatistiklerine göre girişim sayılarının % 97'sini, bu girişimlerdeki toplam istihdamın % 75'ini oluşturmaktadır. Geleneksel iş modelleriyle çalışan KOBİ'lerin kendi kültür coğrafyalarında edindikleri tecrübeyi, küresel literatürde gelişen işletme kavram ve modelleri ile bu kapsamda düzenlenen uyum yasaları çerçevesinde geliştirebilmeleri gerektiği açıktır. Geçmiş yıllarda genellikle kişilere "güven" ve "kefalet" esasına dayalı yürüyen KOBİ ticari faaliyetlerinin, yakın gelecekte genellikle "kurum (corporation) itibarı" ve "sözleşme" esasına göre devam edeceğini öngörmek zor değildir. Sahiplerinde biriken bilgi, beceri, karar verme gücünün zorunlu olarak yönetim kurullarında şekilleneceği bu süreçte ülkemizdeki KOBİ'lerin yönetim kurulları ile bu kurulların yapısı ve özelliklerinin şirket performansına etkisini ölçmek için yönetim kurulu olan ve olmayan 703 tüzel kişiliği haiz işletmede yüz yüze gerçekleştirilen anket çalışmalarıyla ölçümler yapılmıştır. Üretilen ölçeklerin güvenirlik ve geçerlilik analizlerini müteakiben hipotezler çeşitli istatistiksel programlarla analiz edilmiştir. Analizler neticesinde bir yönetim kurulu olan KOBİ'lerin olmayanlara göre daha yüksek performans sağladığı ve yönetim kurullarının kaynak üretebilme gücünün performans üzerinde anlamlı ve güçlü bir etkisi olduğuna yönelik bulgular en dikkat çekici sonuçlardır.

The aim of this thesis is to investigate the impact of the corporate board on the company performance within the scope of small and medium sized enterprises (SME) in Turkey.According to the Turkish Statistical Institute (TurkStat) statistics from 2014 in Turkey that is developing and aiming to take an active role in global system , SMEs comprise 97% of the number of enterprises and 75% of the total employment. It is obvious that there is a need to develop the experience gained by SMEs working with traditional business models in their own geography, cultural environment, within the framework of developing business concepts and models in the world literature and adjustment laws enacted in this context. Trade activities of SMEs carried out in the past years based on the principles of "trust" and "vouch" for each other, in the near future will be continued based on "corporate reputation" and "contract". In the process when the knowledge, skills and decision-making authority of owners mandatorily shaped by corporate boards to evaluate the impact of those boards and their structure and characteristics on SMEs in Turkey the measurements of 703 enterprises having legal entity and with or without corporate boards have been made by conducting face to face surveys. Following the reliability and validity analyses of scales, hypotheses have been analyzed by various statistical programs. Findings such as SMEs with corporate boards provide higher performance than those without corporate boards and that the ability of corporate boards to produce resources has a significant and strong effect on the performance are the most remarkable results of the performed analyses.
